IMPORTANT — PLEASE READ CAREFULLY. These Terms form a legally binding agreement between you (the "Driver") and GENŌ Intelligentia Limited ("GENO", "we", "us", "our"). By ticking the box to accept these Terms and by registering as a Driver, you confirm that you have read, understood, and agree to be bound by them. If you do not agree, you must not register as a Driver or use the GENO platform.
1. About GENO and these Terms
1.1. GENO operates a digital platform (the "Platform") that connects people and businesses who wish to send parcels or goods ("Senders") with independent self-employed drivers ("Drivers") who choose to provide delivery services.
1.2. GENO is a technology platform and intermediary. GENO does not itself provide delivery services, does not employ Drivers, and is not a party to the delivery arrangement between a Sender and a Driver, except as expressly set out in these Terms (for example in relation to payment processing and commission).
1.3. These Terms apply to your use of the Platform as a Driver. Separate terms apply to Senders.
2. Self-Employed Status
2.1. You are an independent, self-employed contractor. You are not an employee, worker, agent, or partner of GENO, and nothing in these Terms creates an employment relationship, a worker relationship, a partnership, or a joint venture between you and GENO.
2.2. You have complete discretion over whether, when, and how often you use the Platform and whether to accept or decline any delivery job. GENO does not require you to accept any minimum number of jobs and does not guarantee you any volume of work or any level of income.
2.3. You are free to provide similar services to other parties, including competitors of GENO, and to use other platforms.
2.4. You are responsible for providing your own vehicle, equipment, fuel, mobile device, data, and any other tools required to perform deliveries.
2.5. Because you are self-employed, you are not entitled to employment rights such as holiday pay, sick pay, pension contributions, or notice of termination from GENO, save as required by applicable law.
3. Taxes and Record-Keeping
3.1. You are solely responsible for your own taxes, including income tax, national insurance or social security contributions, value added tax (where applicable), and any other taxes, levies, or contributions arising from your activity as a Driver, in your country of residence and any country in which you operate.
3.2. You are responsible for registering with the relevant tax authorities, filing your own tax returns, and paying any tax due. GENO does not deduct tax from the payments it makes to you.
3.3. GENO will keep records of the payments it makes to you and the deliveries you complete, and will make a summary of your earnings available to you through the Platform to assist with your record-keeping.
3.4. GENO may be required by law to report information about Drivers and their earnings to tax or regulatory authorities in certain jurisdictions. Where GENO is under such a legal obligation, it will comply with it, and you consent to GENO doing so.
4. Eligibility, Verification, and Your Responsibilities
4.1. To register and be verified as a Driver, you must provide accurate, complete, and current information and documentation as requested by GENO, which may include (depending on your country, vehicle, and the nature of the goods) proof of identity, proof of address, the right to work or operate as a self-employed driver in your country, a valid driving licence appropriate to your vehicle, vehicle registration documents, and any other documents GENO reasonably requires.
4.2. You may not accept or perform any delivery until GENO has verified your account. GENO may, in its sole discretion, approve, refuse, suspend, or revoke verification, and may decline to give reasons. Browsing or accepting jobs is only available to verified Drivers.
4.3. You are responsible for ensuring that you are legally permitted to provide delivery services, including holding the correct driving licence, permits, and right to work or operate in your country, and complying with all laws, regulations, and licensing requirements applicable to you and to your vehicle in every country and locality in which you operate. This includes road traffic laws, vehicle roadworthiness and testing requirements, and any local courier or transport licensing.
4.4. You must keep your documents and information up to date and must promptly inform GENO of any change that affects your eligibility, including the expiry, suspension, or revocation of any licence, permit, or right to work.
4.5. GENO may carry out checks on the information and documents you provide and may use third-party verification services. You authorise GENO to do so.
4.6. A background check (such as a DBS check in the United Kingdom or its equivalent elsewhere) is optional at registration. However, GENO may require or prefer Drivers who have completed such a check for certain deliveries, including high-value goods, and may prioritise or restrict access to such jobs accordingly.
5. Insurance
5.1. You are solely responsible for arranging and maintaining adequate and valid insurance for your activity as a Driver, including motor insurance appropriate for business/commercial use (such as hire-and-reward or courier insurance where required), and any goods-in-transit insurance you consider appropriate for the goods you carry.
5.2. GENO does not provide insurance to you and does not insure the goods you carry. You acknowledge that any insurance is your own responsibility and that GENO has explained this to you.
5.3. You must not perform deliveries while uninsured or under-insured for the activity you are undertaking. You are responsible for confirming that your insurance is valid for delivery/courier work; standard personal motor insurance is often not sufficient.
6. Performing Deliveries
6.1. When you accept a delivery job, you enter into a direct arrangement with the Sender to collect and deliver the relevant goods. You must perform the delivery with reasonable skill and care, in a professional and lawful manner, and within any reasonable timeframe indicated.
6.2. You must follow lawful and reasonable instructions relating to a delivery, including any pickup, handover, and proof-of-delivery procedures provided through the Platform (such as PIN-verified handover).
6.3. Some jobs may require loading assistance, which will be indicated. If you accept a job flagged as requiring loading help, you agree to provide that assistance, and the additional fee for it will be reflected in your earnings for that job.
6.4. You must only carry goods that are lawful. You must not carry, and GENO does not permit the carriage of, any goods that are illegal, prohibited, dangerous, hazardous, or restricted in any country or locality through which you travel, or which you know or suspect to be the proceeds of crime. You are responsible for declining or ceasing any delivery that you reasonably believe to be unlawful.
6.5. You must comply with all applicable data protection and privacy obligations in relation to any personal information you receive in connection with a delivery (such as a recipient's name, address, or contact details), and must use that information only for the purpose of completing the delivery.
7. Responsibility for Goods (Liability)
7.1. You are responsible for the goods while they are in your possession or control, from the point of collection until the point of completed delivery or authorised return.
7.2. If goods are lost, stolen, damaged, or destroyed while in your possession or control, you may be liable to the Sender and/or GENO for that loss or damage, except where the loss or damage was not caused by your act, omission, negligence, or breach of these Terms.
7.3. You acknowledge that your own insurance (see clause 5) is the appropriate means of protecting yourself against such liability, and that GENO does not insure the goods on your behalf.
7.4. You must report any loss of, damage to, or incident involving goods to GENO and the Sender as soon as reasonably possible.
8. Cancellations and Incorrect Details
8.1. Cancellation by you (the Driver). You may decline any job before accepting it. After accepting a job, you should only cancel for good reason and as early as possible. Repeated or last-minute cancellations after acceptance may affect your rating, your access to jobs, or your verification status. Where a cancellation after acceptance causes loss or disruption, GENO may take this into account in managing your account.
8.2. Cancellation by the Sender. A Sender may cancel a booking in accordance with the Sender terms. Where a Sender cancels after you have already begun travelling to or have reached the pickup point, GENO may, at its discretion, apply a cancellation fee or compensation arrangement, and any amount due to you will be reflected in your earnings.
8.3. Incorrect or incomplete details. The Sender is responsible for providing accurate pickup, delivery, and contact details. If you arrive at a pickup or delivery point and cannot complete the job because the details provided were wrong, incomplete, or the relevant party is unavailable, you should report this through the Platform. GENO may, at its discretion, apply a fee, partial payment, or compensation arrangement in respect of a wasted or failed trip, and any amount due to you will be reflected in your earnings.
8.4. GENO's decisions in relation to cancellation fees, wasted-trip compensation, and similar matters are made in good faith and are intended to be fair to both Drivers and Senders.
9. Payment and Commission
9.1. For each completed delivery, the Sender pays the delivery price. GENO retains a commission from that price and pays the remainder to you.
9.2. GENO's current commission is 15% of the delivery price, and you currently receive the remaining 85%. GENO may change its commission rate from time to time. GENO will give you reasonable notice of any change, and the changed rate will apply to jobs you accept after the change takes effect. Continuing to accept jobs after a change constitutes acceptance of the new rate.
9.3. Payments to you are processed through a third-party payment provider (such as Stripe). To receive payment, you must complete the payment provider's onboarding and provide your bank or payout details directly to that provider. GENO does not collect or store your bank account details; these are held by the payment provider.
9.4. You are responsible for the accuracy of the payout information you provide to the payment provider. GENO is not responsible for delays or failures in payment caused by incorrect payout information or by the payment provider.
9.5. Where a Sender pays in cash on delivery (where that option is offered), the settlement of GENO's commission will be handled in accordance with the separately notified cash-handling and settlement arrangements.
10. Ratings and Conduct
10.1. The Platform allows Senders and Drivers to rate and review each other after a delivery. You agree that you may be rated and reviewed, and that your ratings may affect your access to jobs and your standing on the Platform. Ratings and reviews must be honest, fair, and lawful, and must not be abusive, defamatory, or discriminatory.
10.2. You must conduct yourself professionally, courteously, and lawfully at all times when using the Platform and when interacting with Senders, recipients, GENO staff, and members of the public.
10.3. You must not use the Platform to harass, threaten, defraud, or discriminate against any person, and must not engage in any unlawful, dishonest, or fraudulent activity.
10.4. GENO may suspend or terminate your account, with or without notice, if you breach these Terms, if your conduct or ratings fall below acceptable standards, if you provide false information, if your documents or eligibility lapse, or if GENO reasonably considers it necessary to protect Senders, recipients, the public, or GENO.
11. Suspension and Termination
11.1. You may stop using the Platform and may request closure of your account at any time.
11.2. GENO may suspend, restrict, or terminate your access to the Platform at any time, with immediate effect where reasonable, including for the reasons set out in clause 10.4 or where required by law.
11.3. Termination does not affect any rights, obligations, or liabilities that arose before termination, including in relation to completed or in-progress deliveries, payments, and liability for goods.
12. Liability of GENO
12.1. GENO provides the Platform on a reasonable-efforts basis and does not guarantee that it will always be available, uninterrupted, or error-free.
12.2. Because GENO is an intermediary technology platform and you are an independent contractor, GENO is not responsible for your acts or omissions, for the condition or safety of your vehicle, for your compliance with laws, or for the performance of any delivery.
12.3. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
12.4. Subject to clause 12.3, GENO is not liable to you for any loss of profit, loss of income, loss of business, or any indirect or consequential loss, and GENO's total liability to you arising out of or in connection with these Terms is limited to the total commission GENO has retained from your deliveries in the three months before the event giving rise to the liability.
13. Indemnity
13.1. You agree to indemnify GENO against any losses, claims, damages, liabilities, costs, and expenses that GENO incurs arising out of your breach of these Terms, your negligence, your unlawful conduct, your failure to hold appropriate insurance, licences, or the right to operate, or any claim by a Sender, recipient, or third party arising from a delivery you performed.
14. Data Protection
14.1. GENO processes your personal data in accordance with its Privacy Policy, which forms part of these Terms. You should read the Privacy Policy to understand how your information is collected, used, stored, and shared.
14.2. You consent to GENO collecting and processing your personal data and documents for the purposes of operating the Platform, verifying you, processing payments, complying with legal obligations, and protecting Senders, recipients, and the public.
15. International Operation and Local Compliance
15.1. GENO's Platform may be used by Drivers in multiple countries. You are responsible for ensuring that your activity as a Driver is lawful in your own country and in every country and locality in which you operate, including all licensing, right-to-work, immigration, tax, insurance, vehicle, and road traffic requirements.
15.2. These Terms apply to you regardless of your country of operation. Where local law mandates additional rights or requirements that cannot lawfully be overridden, those local requirements apply to the extent required by law, and the remainder of these Terms continue in effect.
16. Changes to these Terms
16.1. GENO may update these Terms from time to time. Where changes are material, GENO will give you reasonable notice (for example through the Platform or by email). Your continued use of the Platform after the changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Jurisdiction
17.1. These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales.
17.2. Subject to any mandatory local law that gives you the right to bring proceedings in your country of residence, the courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
18. General
18.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
18.2. GENO's failure to enforce any provision is not a waiver of that provision.
18.3. You may not transfer your rights or obligations under these Terms to anyone else. GENO may transfer its rights and obligations, for example as part of a sale or reorganisation of its business.
18.4. These Terms, together with the Privacy Policy and any terms expressly referred to in them, constitute the entire agreement between you and GENO in relation to your use of the Platform as a Driver.
